To ensure a smooth incorporation or transfer of a BVI company, clients must provide clear and specific information on the company’s nature of business and source of funds.
Nature of business
Descriptions must be specific and include the country of activities. Generic terms such as “holding company” or “consultancy” do not provide enough detail. Examples of more specific descriptions include:
• Holding shares – Provide the name of the company held, its jurisdiction, and the underlying activities of its parent or operating company (eg Holding shares in XYZ Ltd, a Singapore company engaged in candy retail).
• Financial investments – State the type of assets, approximate value, and details of the financial institution or registration (eg Portfolio of listed equities valued at approx. USD 2m held with ABC Bank, Hong Kong).
• Property holdings – Specify property type and address (eg Residential property at 123 Main Street, Miami, USA).
• Service activities – Provide the type of service and industry (eg Consultancy services in the entertainment industry or Website development for corporate clients in the EU).
• Investment activities – Describe the sector and type of investment (eg Pursuit of non-financial investments in the hotel industry in Spain).
Source of funds
Clear information on the origin of funds must also be provided. Examples include:
• Salary – State the UBO’s occupation/profession and employer (eg Senior Manager, Audit, PwC).
• Inheritance – Identify the relative, source business, and provide supporting documents (eg Inheritance from father, owner of ABC Furniture Store).
• Company revenue – Provide details of the business activities and financial information where available.
